These Terms of Use ("Terms") are a legal agreement between you ("you") and Degentics ("we," "us," or "our"). They govern your use of the Degentics platform and services ("Services"), which let you create and trade digital assets like cryptocurrencies or tokens ("Digital Assets"). By using our Services, you agree to these Terms. If you don’t agree, don’t use them.

Risk Warning

Digital Assets can swing in value wildly. There’s a big risk of losing money when you buy, sell, or hold them. Make sure this fits your financial situation and risk tolerance. We’re not your advisor or broker—do your own research and consult experts. You’re responsible for any losses from your decisions.

1. What We Do

Degentics provides a platform for creating and trading Digital Assets. Using it binds you to these Terms.

2. Who Can Use It

You can use our Services if you:

• Are a person or entity with full authority to agree to these Terms.
• Are authorized to act for any entity you represent.
• Aren’t in a banned country (e.g., Cuba, Iran, North Korea, Syria, Russia, or places sanctioned by the US, UK, EU, or UN) or breaking any laws by using it.

We can change eligibility rules anytime, with or without notice if laws or urgent reasons require it.

3. Using the Platform

We can refuse or limit your access anytime, no explanation needed. Don’t post anything illegal, abusive, or misleading—doing so can get you banned.

4. Fees

The following are fees charged when you use the degentics.ai platform:

We can update fees anytime (see Section 14).

5. Records

We keep your data as needed for your use and to meet legal requirements (e.g., taxes, anti-money laundering rules).

6. Access

You need your own device (like a computer or phone) and internet. Bots or other methods we allow are fine, but extra terms may apply.

7. Transactions

If you act with bad intent (e.g., market manipulation) or there’s an obvious error, we can cancel transactions if legal. We might share your activity info if required by law or these Terms.

8. Instructions

Submit clear, accurate instructions—they’re final once sent. We don’t have to check them but can delay or refuse if suspicious. You authorize us to move Digital Assets per your instructions. Keep enough in your Wallet, or we can refuse.

9. Transaction Limits

We set limits at our discretion.

10. Security

Protect your gear and data—we’re not liable for losses from your failure to do so. Keep login info safe; we’ll never ask for passwords. Report breaches ASAP—we can investigate and share info to fix them.

11. Privacy

Our Privacy Policy explains how we handle your data—it’s part of these Terms.

12. Changes

We can tweak these Terms anytime. We’ll post updates on our site and try to notify you, but urgent changes (e.g., legal needs) might hit instantly. Keep using the Services, and you accept the updates. Stop if you don’t agree.

13. Ending or Limiting Use

We can stop or restrict your access anytime for reasons like:

• You’re ineligible.
• Suspected fraud or illegal use.
• Legal demands.
• Unpaid fees.

We’ll notify you when possible. Open transactions might close, and we can deduct fees from your Wallet.

14. Our IP

Our intellectual property ("Degentics IP"), like the platform and its content, stays ours. You get a limited, personal-use license until we end it.

15. Your IP

You give us a forever, free license to use your intellectual property ("User IP") if it’s part of created Digital Assets or needed for our Services.

16. Created IP

Anything you create here ("Created IP") becomes ours—you’ll help us secure it if asked.

17. Prohibited Uses

Don’t:

• Break these Terms or laws.
• Use it commercially without permission.
• Manipulate markets (e.g., pump and dump).
• Hack, spam, or overload it.
• Spread viruses or fake info.

18. Promises You Make

You confirm:

• You decide based on your own judgment.
• You’re allowed to use this and have all needed approvals.
• Your use won’t break laws or others’ rights (e.g., copyright).

19. Tech Disclaimer

The Services are "as is"—no guarantees of uptime or accuracy. We’re not liable for tech hiccups or third-party site issues. You handle your own gear and connection.

20. Your Liability

You cover our losses from your misuse, breaches, or third-party claims.

21. Our Liability

We’re only liable for intentional misconduct or fraud, capped at fees you paid for the issue-causing transaction. No special damages or third-party dispute liability.

22. Law & Disputes

English law applies unless local law says otherwise. Try resolving issues with us first (30 days). If not, send a "Notice of Claim" to our Support team with your Wallet ID, claim details, and relief sought, then arbitrate via the London Court of International Arbitration (LCIA) in London (English, one arbitrator). Start within a year, or it’s void. No class actions.

24. General

• Obey all laws ("Applicable Law" means any relevant rules, regs, or orders).
• Notices are electronic and binding.
• Check our X for updates.
• No transfers without our OK; we can transfer freely.
• English version rules if translated.
• Unavoidable events (e.g., natural disasters, tech failures) excuse delays.

25. Wallets

If we offer a Wallet via our app, it’s run by Privy.io—not our responsibility.
